Frewie Affiliate Program Terms & Conditions
This following document highlights the terms and conditions for the Frewie Affiliate Program.
Program Overview
The Purpose of the program is to permit you to advertise Frewie eSIM Packages on your Websites, Social Media, email, or any other form of electronic marketing, and to receive a commission on services purchased by your referred individuals.
Definitions
‘Affiliate’ – The business, individual, or entity applying to or participating in the affiliate program, or that displays Frewie’s products & services and/or promotions on its website, or other means, using an affiliate tracking code in exchange for receiving a commission from Frewie for sales directly resulting from such display.
‘Affiliate Site’ – The affiliate’s website, email or any other digital medium which displays Frewie’s products and services and/or promotions that is owned by the Affiliate
‘Frewie eSIM Package’ – eSIM packages that are available for purchase from Frewie website
‘Qualified Purchase’ – A qualified purchase is defined as an order that has been successfully completed on Frewie website.
Summary
The affiliate agreement (“Agreement”) contains the complete terms and conditions between, Frewie Technologies Pte Ltd (“Frewie”) and you, regarding your application to and participation in, the Frewie Affiliate Program (the Affiliate Program”) as an affiliate of Frewie (an “Affiliate”), and the establishment of links from your website to our website, https://www.frewie.com.
It is understood that the Affiliate will introduce Company products and services to their current and prospective customers and will comply with all laws, including those that govern email marketing and anti-spam laws.
The Affiliate will be fully responsible for any costs related to maintaining or marketing the Affiliate Program, including but not limited to costs associated with creation, hosting, modification, or improvements to the Affiliate’s website; cost of internet marketing; offline marketing costs; postage; and all other costs and expenses incurred by the affiliate.
The Company reserves the right to accept or reject any prospective customers. It will pay the Affiliate a commission per customer referred using an affiliate code and according to a designated payment schedule.
We reserve the right to update and change the Terms from time to time without notice. Any amendments, modifications, enhancements or changes to the Program including the release of new features and resources made available by us from time to time shall be subject to these Terms. Continued use of the Program after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms at any time at: https://www.frewie.com.
Any violation of these Terms may result in, among other things, termination or suspension of your rights to be an Affiliate and forfeiture of any outstanding affiliate referral fee payments earned during the violation.
Every customer who buys a service through this program is deemed to be a customer of Frewie. Accordingly, all of our rules, policies, and operating procedures concerning pricing, customer orders, customer service, and services sales will apply to those customers. We may change our policies and operating procedures at any time. Frewie is not responsible for any representations made by the Affiliate that contradict our rules, policies or operating procedures.
Account Registration & Terms
You must provide your legal full name, a valid email address, and any other information requested in order to complete the sign up process for an Affiliate account (“account”)
You must be 18 years of age or older to join this Program.
Each account is for use by either a single legal entity (e.g. a company or a partnership) or an individual user. We do not permit you to share your user name and password with any other person nor with multiple users on a network. Responsibility for the security of any usernames and passwords issued (including those of any Invitees) rests with you.
You may not use the Program for any illegal or unauthorized purpose. You must not, in the use of the Program, violate any laws in your jurisdiction (including but not limited to copyright laws).
Enrollment
To begin the enrollment process, you must submit a completed affiliate program signup form. The signup form can be found at https://www.frewie.com/affiliate.
Any affiliate involved in dubious activities or bogus followers, or click fraud shall be immediately disqualified from the affiliate program.
To register for the Affiliate Program, the recipient must complete and send an Affiliate Program Registration to the Company. The Affiliate Program Application is included on the Company’s website and can be completed and submitted through the site.
The Company will evaluate the application and notify the Affiliate of their acceptance or rejection. The Company may reject the application for any reason at their sole discretion.
Without limiting the ability to reject any application for any reason at the Company’s absolute discretion, the Affiliate application will be rejected if:
• The application is incomplete.
• The Affiliate website contains images or content that promotes violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• The Affiliate website promotes illegal activities or is intended to harass or defame any person.
• The Affiliate website intentionally includes variations or misspellings thereof in their domain names or otherwise violates the Company’s intellectual property rights or the intellectual property rights of others.
• If the Company rejects the Affiliate’s application, the Affiliate is welcome to reapply to the program at any time.
However, if the company accepts the application, they reserve the right to terminate the Affiliate’s participation in the program for any reason at their sole discretion immediately and without prior notice.
Referral Links & Promotion
Once you have signed up for the Program you will be provided with a URL link that must be used to identify you when placing a link from your site, email or other communications to the Frewie website. It is your responsibility to ensure each such link is correctly formatted.
We may also be provided with graphical images that can be used within the links to promote Frewie eSIMs. You may not modify these images in any way that distorts the brand identity, brand logo or brand visuals. We reserve the right to change the images at any time without notice.
You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site
You may not use our name or graphics in any defamatory or derogatory manner that could potentially harm our brand or its services. We may terminate the Agreement if any meaningful spam complaints naming us or our services result from your marketing activities or if any content found that could be of potential harm to our brand or reputation.
You may not issue any press release with respect to this Agreement or your participation in the Program; such action may result in your termination from the Program. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, say you develop our Services, say you are part of Frewie or express or imply any relationship between us and you or any other person or entity, except as expressly permitted by this Agreement.
For the sale of a subscription to be eligible to earn a referral fee, the customer must click-through a link from your site, email, or other communications to the Frewie website and make a purchase. If they fail to purchase and later return without following your link, you will not earn a referral fee.
We will only pay referral fees on links that are automatically tracked and reported by our systems. For our systems to track the referral, the visitor must have cookies enabled. We will not pay referral fees if someone says they signed up through you but it was not tracked by our system.
The referral fee is 8% of our revenue from customers that you refer. The referral fee will be credited to your Frewie wallet account once the customer pays their subscription. Referral fees are only earned if a customer makes a payment in full. Payment thresholds & mechanism is further covered in the Payment Section.
Payment Policy
Commissions will be calculated based on the commission rates stated on the Frewie website for each qualified purchase (as defined herein).
The Affiliate need to provide accurate and up-to-date bank account details to ensure the successful processing of payment by bank transfers. The Affiliate acknowledge that any errors in the information may result in transaction delays or failures. The Affiliate agree to promptly update account details in the event of any changes by email to affiliate@frewie.com. Furthermore, the Affiliate understand that the responsibility for any inaccuracies lies solely with the Affiliate, and the Company is not liable for any loss incurred due to such inaccuracies.
Affiliates need to have a minimum threshold of $100 for the payout to be initiated. Payouts shall be carried out 10 business days after the close of the month to account for reconciliation of orders.
The Company makes no representations or warranties regarding potential income that may result from the Affiliate Program. Commissions will be paid to the Affiliate based on customers who access the Company website through the Affiliate’s site and subsequently tracked through the affiliate link.
Commissions will be based on gross sales price, not including any additional fee, tax and any other payment made to the Company that is not the purchase price of the product.
The percentage paid as commissions is 8% of the total revenue generated from the affiliate website and tracked through the link using our system. Payments are made by 10th business day of each month only after the Affiliate’s account balance reaches $100 or more for the previous months’ transactions. The Affiliate understands that the Company may change the payout amount at any time.
The Affiliate is responsible for determining if the payout for a link they placed on their site has changed or been discontinued. The Company reserves the right to deduct the costs for any products that are returned or refunded in the subsequent months, attributable to credit card fraud or bad debt write-off, or for any other reason if the previous commission was overpaid.
Accrued referral fees are paid via online bank transfer once per month and only when your accrued referral Commission total $100 or more. Customer payments refunded or payments charged-back due to credit card fraud do not qualify for referral fees. We may delay crediting of referral fees subject to risk analysis considerations and Anti-Money Laundering procedures.
The referral fee structure is subject to change at our discretion. We reserve the right to disqualify referral fees earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.
All fees are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your involvement in this Agreement and shall be the responsibility of, and payable by you.
Confidentiality
The Affiliate promises and agrees to hold any confidential information in strict confidence and trust for the sole benefit of the Company, both during the term of this Agreement and at all times thereafter, and shall not use such confidential information for any purpose, whether or not for consideration, business or personal, other than as may be reasonably necessary for the performance of its duties according to this Agreement, without the Company’s prior written consent.
The Affiliate shall not disclose any confidential information to any person or entity, other than to such of its employees or consultants as may be reasonably necessary for purposes of performing its duties hereunder and have executed agreements of confidentiality no less protective than this Agreement without the Company’s prior written consent.
The Affiliate’s obligations include taking all actions necessary to ensure that any affiliates, employees, contractors, or agents abide by the terms of this section in their entirety.
Confidential information does not include information that;
is or becomes publicly known through lawful means;
was rightfully in provider’s possession or part of the Affiliate’s general knowledge before the effective date of this Agreement;
or is disclosed to the Affiliate without confidential restriction by a third party who rightfully possesses the information (without confidential restriction) and did not learn of it, directly or indirectly, from the Company
Indemnification
The Affiliate hereby agrees to indemnify and hold harmless the Company, its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on:
Any claim that our use of the Affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary rights of any third party.
Any claim related to the Affiliate’s site, including, without limitation, its development, operation, maintenance, and content therein not attributable to the Company.
Any misrepresentation of a representation or warranty or breach of a covenant and agreement made by the Affiliate herein.
Termination of Agreement
Either the Affiliate or the Company may terminate the Affiliate relationship at any time. The Affiliate is only eligible to earn Affiliate payments during their time as an approved Affiliate. The Company may change the program or service policies and operating procedures at any time.
This Agreement sets forth the entire agreement and understanding between the Affiliate and the Company relating to the subject matter hereof and thereof and supersedes any prior or contemporaneous discussions, agreements, representations, warranties, and other communications between the Affiliate and the Company, written or oral, to the extent they relate in any way to the subject matter hereof.
BY SUBMITTING AN APPLICATION TO JOINING OR BY PARTICIPATING IN THE AFFILIATE PROGRAM, YOU CONFIRM THAT YOU HAVE READ AND AGREE TO BE BOUND BY THIS AGREEMENT AND THE FREWIE TERMS AND CONDITIONS.
